Terms of Service

Effective Date: June 11, 2026 (supersedes the March 1, 2026 version)These Terms of Service govern your access to and use of the DOCKEX platform. Please read them carefully before creating an account, starting a trial, spawning a sandbox, or using any DOCKEX services.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and DOCKEX LLC, a limited liability company organized under the laws of the State of Oklahoma ("DOCKEX," "we," "us," or "our"), governing your access to and use of the DOCKEX software-as-a-service platform, the website located at dockex.io, the demo sandbox at dockex.io/demo, and all related services, features, content, and applications (collectively, the "Services").

By creating an account, starting a free trial, spawning a demo sandbox, clicking "I Agree," or otherwise accessing or using the Services, you represent that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any order form, statement of work, or program terms (including Design Partner program terms) we both agree to in writing. If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" and "your" refer to that entity.

If you do not agree to these Terms in their entirety, do not use the Services.

2. Description of Services

DOCKEX is a cloud-based platform for commercial fleet operators and motor carriers. Depending on your subscription tier and the authorizations you give us (Section 3), the Services include:

  • IRP registration services: Preparation, calculation, and — where authorized under Section 3 — submission of International Registration Plan (IRP) apportioned registrations and renewals.
  • IFTA filing services: Calculation, preparation, and — where authorized — submission of International Fuel Tax Agreement (IFTA) quarterly returns, including mileage tracking, fuel purchase reconciliation, and jurisdiction-level tax computations.
  • IRS Form 2290 (Heavy Vehicle Use Tax): Preparation and — on Professional and Business tiers, where authorized — electronic submission of IRS Form 2290 through IRS-authorized e-file providers. Form 2290 is a federal tax return. DOCKEX is not a tax advisor and does not provide tax advice; you are responsible for the accuracy of the underlying data and for your federal tax obligations.
  • UCR registration: Preparation and — where authorized — submission of Unified Carrier Registration filings through the national UCR portal.
  • MCS-150 / biennial updates: Preparation and — where authorized — submission of FMCSA MCS-150 biennial updates and carrier-record changes.
  • Driver qualification (DQ) files: Tools for building and maintaining driver qualification files, including CDL records, medical certificates, employment history, and related documents that you (the employer) enter or upload.
  • Driver records and screening support: As described in Section 4: storage of motor vehicle records (MVRs), drug and alcohol program records, and FMCSA Drug & Alcohol Clearinghouse query results — and, where offered, MVR ordering and Clearinghouse query facilitation, subject to the certifications in Section 4.
  • Telematics integrations: Optional connections to third-party telematics providers (e.g., Samsara, Motive, Geotab) that you authorize, used to import vehicle, mileage, and location data into the platform.
  • Fleet management: Centralized management of vehicle and trailer records, driver assignments, registration credentials, and fleet configurations.
  • Document management: Secure storage, organization, and retrieval of compliance documents — cab cards, registration credentials, permits, titles, fuel records, and similar.
  • Compliance tracking: Automated monitoring of registration expirations, filing deadlines, DQ file gaps, and jurisdiction-specific requirements, with proactive alerts.
  • Agency quote management: Tools to request, compare, and manage registration service quotes from third-party transportation compliance agencies.

DOCKEX does not provide legal, tax, or accounting advice. The platform automates data processing and filing workflows; you remain responsible for the accuracy of all data submitted through the platform and for your compliance with applicable federal, state, and jurisdictional laws (Section 3.5).

We may modify, discontinue, or add features to the Services with reasonable notice to active subscribers.

3. Filing Services, Authorization & Responsibility

This section is the contract version of the scope we publish at dockex.io/methodology ("'We file on your behalf' has a specific scope"). The marketing pages and this section are meant to say the same thing; if they ever differ, this section controls.

3.1 What "we file on your behalf" means

  • Oklahoma state filings (all paid tiers, per tier limits): For carriers based in Oklahoma, DOCKEX prepares and submits IRP and IFTA filings through the Oklahoma Corporation Commission and Service Oklahoma portals under a signed power of attorney or equivalent written authorization that you execute before we submit anything. Professional and Business tiers include a second-person review before submission.
  • Federal filings — Professional and Business tiers (any state): DOCKEX prepares and submits IRS Form 2290, UCR, and MCS-150 filings for carriers in any state, using IRS-authorized e-file providers and the applicable national portals, with your authorization on file.
  • Federal filings — Starter tier (prep-only): On Starter, DOCKEX prepares federal filings for your review; you submit them. DOCKEX is not the filer of record for Starter-tier federal filings.
  • Non-Oklahoma state filings: For state-level filings outside Oklahoma, DOCKEX currently provides deadline tracking and prepared filing packets; you submit them until DOCKEX launches direct submission in your state. We will tell you, in the product, which mode applies to each filing.

3.2 Your authorization

Before DOCKEX submits any filing on your behalf, you must provide the required authorization — a signed power of attorney for Oklahoma state filings, and the consent and authorization forms required by the IRS e-file provider or national portal for federal filings. You represent that the person signing has authority to bind your company. You may revoke an authorization in writing at any time; revocation takes effect prospectively and does not undo filings already submitted.

3.3 Filing timeliness — what DOCKEX commits to

Where DOCKEX is the submitting party under Section 3.1, DOCKEX will use commercially reasonable efforts to submit each filing before the applicable regulatory deadline, provided that all of the following are true:

  • you provided complete and accurate data required for the filing by the cutoff DOCKEX communicates in the product or by email (and absent a stated cutoff, at least ten (10) business days before the regulatory deadline);
  • a valid, unexpired authorization under Section 3.2 is on file;
  • your account is in good standing (no payment delinquency or suspension); and
  • the relevant government portal or e-file provider is operational and accepting submissions.

DOCKEX is not responsible for delays, rejections, penalties, or audit outcomes caused by government agency processing, portal outages, regulatory changes, or data you provided late, incomplete, or inaccurate.

3.4 If a deadline is missed

If DOCKEX fails to submit a filing on time despite your having met every condition in Section 3.3, your exclusive remedies are those set out in Sections 12 (Disclaimer of Warranties) and 13 (Limitation of Liability). Penalties, interest, or other consequences arising from data you provided late, incomplete, or inaccurate remain your responsibility under Section 3.5.

3.5 What stays your responsibility

Regardless of tier or authorization: (a) you are solely responsible for the accuracy, completeness, and timeliness of all data you provide; (b) you remain the regulated party — DOCKEX's services do not transfer your compliance obligations under IRP, IFTA, IRS, FMCSA, UCR, or state law to DOCKEX; (c) penalties, interest, audit assessments, or enforcement actions arising from late, incomplete, or inaccurate data you provided are your responsibility; and (d) you are responsible for reviewing filings we prepare for your review (Starter-tier federal filings and non-Oklahoma state packets) and for submitting them on time.

4. Driver Records, MVRs & Consumer Reports

Motor vehicle records ("MVRs") obtained for employment purposes are consumer reports under the Fair Credit Reporting Act ("FCRA"). Where DOCKEX orders MVRs or other driver consumer reports for you, it does so through third-party consumer reporting agencies as your service provider, and the certifications and obligations in this section apply.

4.1 MVR ordering — customer certifications

For each MVR or other consumer report DOCKEX facilitates on a driver, you certify that:

  • Permissible purpose (FCRA § 604(b)): You are procuring the report for employment purposes — evaluating a driver you employ or are considering for employment — and for no other purpose;
  • Driver disclosure and authorization: Before requesting the report, you provided the driver a clear and conspicuous written disclosure, in a standalone document, that a consumer report may be obtained for employment purposes, and you obtained the driver's written authorization;
  • Adverse action compliance: Before taking any adverse action based in whole or in part on the report, you will provide the driver a copy of the report and the CFPB "Summary of Your Rights Under the Fair Credit Reporting Act," and you will comply with all pre- and post-adverse-action requirements. Adverse-action compliance is your obligation, not DOCKEX's;
  • DPPA permissible use: Your use of personal information from motor vehicle records complies with the Driver's Privacy Protection Act, 18 U.S.C. § 2721 et seq., and you will use the records only under DPPA § 2721(b)(3) (employer use to verify information relating to a holder of a commercial driver's license) or another permissible use you identify; and
  • No resale: You will not resell, share, or use the report for any purpose other than the certified one, and you will limit access to personnel with a need to know.

4.2 Flow-down terms

MVRs are sourced through third-party consumer reporting agencies and state DMV systems. Their end-user terms flow down to you, and you agree to comply with them. DOCKEX will identify the sourcing provider for each report.

4.3 Clearinghouse queries

Where DOCKEX facilitates FMCSA Drug & Alcohol Clearinghouse queries, you certify that you have obtained the driver consent required by 49 CFR Part 382 Subpart G (general consent for limited queries; specific electronic consent in the Clearinghouse for full queries), that you are a registered Clearinghouse user or have designated DOCKEX as your consortium/third-party administrator in the Clearinghouse, and that you will use query results only as permitted by Part 382.

4.4 Audit and suspension

DOCKEX may request evidence of the certifications above and may suspend MVR or Clearinghouse features immediately if it reasonably believes a certification is false. You will indemnify DOCKEX for claims arising from your breach of this Section 4 (see Section 14).

4.5 Records you obtain yourself

DOCKEX also provides storage and organization for driver records that you obtain on your own — MVRs, drug and alcohol program records, Clearinghouse query results, medical certificates, and similar. For those records, you represent that you obtained each record lawfully (including any FCRA disclosure and authorization and DPPA permissible-use requirements that applied to your acquisition of it), and you are solely responsible for your use of the records, including any adverse-action obligations. DOCKEX processes these records as your service provider, at your direction, as described in the Privacy Policy.

5. Account Registration & Eligibility

5.1 Eligibility

The Services are intended exclusively for use by commercial fleet operators, motor carriers, transportation companies, and licensed transportation compliance agencies, as well as their duly authorized employees and representatives. By registering for an account, you represent and warrant that:

  • You are at least 18 years of age and have the legal capacity to enter into binding contracts;
  • You are a commercial fleet operator, motor carrier, transportation agency, or an authorized representative of such an entity — the Services are business-to-business and not offered to consumers;
  • Your use of the Services will be for legitimate commercial transportation and compliance purposes; and
  • You are not prohibited from using the Services under the laws of the United States, the State of Oklahoma, or any other applicable jurisdiction.

5.2 Account Registration

To access the Services, you must create an account by providing accurate, current, and complete information as prompted during the registration process. You agree to maintain and promptly update your account information to keep it accurate and complete. DOCKEX reserves the right to suspend or terminate accounts where registration information is found to be false, inaccurate, outdated, or incomplete.

5.3 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree to notify DOCKEX immediately at contact@dockex.io of any unauthorized use of your account or any other breach of security. DOCKEX will not be liable for any loss or damage arising from your failure to comply with these security obligations. You may not share your account credentials with any third party or allow third parties to access your account.

5.4 Team Accounts

Where your subscription permits multiple users, each individual accessing the Services must have their own unique login credentials. Account administrators are responsible for ensuring all users within their organization comply with these Terms. Administrators are liable for the acts and omissions of users they authorize on the platform.

6. Free Trial, Demo Sandbox & Promotional Programs

6.1 14-day free trial

New accounts may start a fourteen (14) day free trial with full platform access. No payment method is required to start a trial. If you do not subscribe by the end of the trial, your account converts to read-only: your data stays put, you can export it at any time, and you can subscribe later to reactivate. Read-only accounts that remain inactive for twelve (12) months may be deleted after thirty (30) days' email notice. During the trial, filing-submission services under Section 3 are available only once the required authorizations are on file, and DOCKEX may decline to submit time-sensitive filings for unconverted trial accounts where the deadline falls after the trial ends.

6.2 Demo sandbox

The demo sandbox at dockex.io/demo provisions a temporary environment seeded with fictional demonstration data (a fictional Oklahoma carrier — its company, drivers, vehicles, and filings do not exist and do not correspond to any real person or carrier). Sandbox terms:

  • 24-hour lifetime: Sandboxes expire approximately twenty-four (24) hours after creation, unless you convert the sandbox into a real account (which begins a standard 14-day trial under Section 6.1).
  • Demo data only: Do not enter real business data, real driver personal information, or real documents into a sandbox. Anything you enter may be deleted without notice at expiry.
  • No filings, no warranty: Sandboxes are for evaluation only. Nothing in a sandbox is submitted to any government agency. Sandboxes are provided AS IS, with no service commitments of any kind.
  • Anti-abuse: You may not create sandboxes with automated tools, create them in bulk, use them to probe or load-test the platform, or use them to circumvent trial or subscription limits. We may rate-limit, expire early, or block sandbox access at our discretion.

6.3 Design Partner program

If you join the Design Partner program, the program page terms in effect when you enroll (currently: 50% off your first year, annual plan only, applied as a promo code; cancel any time in year one with no clawback of the discount; data remains exportable) are incorporated into these Terms for your account. After year one, standard published pricing applies unless we agree otherwise in writing. If the program page and these Terms conflict for program accounts, the program page controls.

7. Acceptable Use Policy

You agree to use the Services only for lawful purposes and in compliance with these Terms and all applicable laws, regulations, and governmental requirements. The following conduct is strictly prohibited:

7.1 Fraudulent or Illegal Filings

You may not use the Services to prepare, submit, or facilitate any IRP, IFTA, or other regulatory filing that contains false, misleading, or fraudulent information. This includes, without limitation, misrepresenting mileage data, fuel purchases, fleet composition, vehicle weights, jurisdictional travel, or any other data material to a regulatory filing. Fraudulent filings may constitute a violation of federal and state law, and DOCKEX reserves the right to report suspected fraud to applicable authorities.

7.2 Misrepresentation of Fleet or Vehicle Data

You may not enter, upload, or submit vehicle or fleet data that you know or reasonably should know to be inaccurate, altered, or fabricated. This includes misrepresenting vehicle identification numbers (VINs), gross vehicle weight ratings (GVWRs), registered weights, axle configurations, base jurisdictions, or fleet unit counts.

7.3 Reverse Engineering & Unauthorized Access

You may not: (a) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying structure of the DOCKEX platform or any component thereof; (b) access or attempt to access any non-public areas of the platform, servers, or infrastructure; (c) use automated scripts, bots, scrapers, or crawlers to extract data from the platform; (d) circumvent or attempt to bypass any security, rate-limiting, or access control mechanisms; or (e) probe, scan, or test the vulnerability of the platform or related systems.

7.4 Additional Prohibited Conduct

  • Using the Services to upload or transmit malware, viruses, or any malicious code;
  • Attempting to interfere with the proper functioning, availability, or integrity of the Services;
  • Impersonating any person or entity or misrepresenting your affiliation with any person or entity;
  • Using the Services to transmit unsolicited commercial communications or spam;
  • Sublicensing, reselling, or providing access to the Services to third parties except as expressly permitted under your subscription plan;
  • Misusing driver records — accessing, using, or sharing MVRs, Clearinghouse results, or drug and alcohol records other than as permitted by Section 4 and applicable law;
  • Abusing the sandbox or trial mechanisms described in Section 6; or
  • Using the Services in any manner that violates the rights of any third party, including intellectual property rights, privacy rights, or contractual rights.

DOCKEX reserves the right, at its sole discretion, to investigate potential violations of this policy and to suspend or terminate accounts found to be in violation, with or without prior notice.

8. Subscription & Payment Terms

8.1 Plans and pricing

DOCKEX publishes its pricing at dockex.io/pricing. Current plans: Starter $79/month, Professional $249/month, Business $599/month, each available monthly or annually (annual billing is priced at ten months — two months free: $790, $2,490, and $5,990 per year respectively). Plans differ by fleet size limits, included registration renewals, and the filing-service level described in Section 3; per-filing service fees and commissions are also published on the pricing page. Enterprise plans (fleets over 500 vehicles) are custom-quoted. The pricing page in effect when you subscribe or renew states your fees; we may change published pricing with at least thirty (30) days' notice before it applies to your next renewal.

8.2 Payment Processing

All subscription fees are billed and processed through Stripe, Inc., a third-party payment processor. By providing a payment method, you authorize DOCKEX and Stripe to charge your payment method for all applicable subscription fees and any applicable taxes. You represent that you are authorized to use the payment method you provide. Your payment information is transmitted directly to Stripe and is subject to Stripe's terms of service and privacy policy. DOCKEX does not store your full payment card information on its servers.

8.3 Billing Cycles

Subscriptions are available on monthly or annual billing cycles, as selected at the time of purchase. Monthly subscriptions are billed on the same calendar day each month. Annual subscriptions are billed once per year on the anniversary of the subscription start date. Subscription fees are charged in advance at the beginning of each billing period.

8.4 Auto-Renewal and Cancellation

Subscriptions renew automatically at the end of each billing period. You may cancel at any time, up to the moment of renewal, through your account settings or by emailing contact@dockex.io. Cancellation takes effect at the end of the then-current billing period — the end of the current billing month for monthly plans, and the end of the current paid annual term for annual plans. You keep access until then, and you are not charged again. No notice window, no cancellation fee.

8.5 No Refund Policy

All subscription fees are non-refundable. Upon cancellation, you will retain access to the Services through the end of your current paid billing period, after which your account will be downgraded or deactivated. DOCKEX does not provide refunds or credits for partial months or years of service, unused features, or periods during which the Services were available but not actively used. Notwithstanding the foregoing, DOCKEX may, in its sole discretion, issue credits or refunds in exceptional circumstances.

8.6 Taxes

All subscription fees are exclusive of applicable taxes. You are responsible for paying any sales, use, value-added, or other taxes applicable to your subscription, excluding taxes based on DOCKEX's net income. Where DOCKEX is required by law to collect such taxes, they will be added to your invoice.

8.7 Delinquent Accounts

If payment fails, DOCKEX will notify you and may retry the charge. If payment remains outstanding after a reasonable cure period, DOCKEX reserves the right to suspend or terminate your access to the Services. Suspension also pauses DOCKEX's filing-submission obligations under Section 3.3. You are responsible for all costs incurred in collecting overdue amounts, including reasonable attorneys' fees.

9. User Content & Data

9.1 Your Data

You retain full ownership of all data, information, vehicle records, mileage logs, fuel purchase records, driver records, filing data, documents, and other content that you upload, input, or submit to the Services ("User Data"). DOCKEX does not claim any ownership rights in your User Data.

9.2 License to Process

By submitting User Data to the Services, you grant DOCKEX a limited, non-exclusive, worldwide license to access, store, process, transmit, and use your User Data solely to the extent necessary to: (a) provide and operate the Services; (b) perform maintenance, security monitoring, and technical support; (c) comply with applicable legal obligations; and (d) as otherwise directed by you. This license terminates upon the deletion of your User Data or termination of your account, subject to any legal retention obligations.

9.3 Data Accuracy

You are solely responsible for the accuracy, completeness, and legality of all User Data submitted to the platform. DOCKEX processes User Data as provided and does not independently verify the accuracy of vehicle records, mileage data, fuel information, or other inputs. Inaccurate User Data may result in incorrect regulatory filings for which DOCKEX bears no responsibility (see Section 3.5).

9.4 Aggregated Analytics

DOCKEX may use de-identified, aggregated, and anonymized data derived from the Services for the purpose of improving the platform, conducting research, and generating industry insights. Such aggregated data will not identify you or your organization individually. DOCKEX retains ownership of all aggregated, anonymized data.

9.5 Data Retention and Export — Our Commitment

  • Export any time: While your account exists — active, trial, read-only, or canceled-but-retained — you can export your User Data in standard formats at no charge.
  • Twelve months read-only after termination: When your subscription ends (cancellation, non-renewal, or trial expiry without subscribing), your account converts to read-only and DOCKEX retains your User Data for at least twelve (12) months, during which you may export it or reactivate.
  • Deletion after the retention window: After the 12-month window, DOCKEX may delete your User Data following thirty (30) days' email notice, except records DOCKEX must retain for legal, tax, or audit purposes (e.g., copies of submitted filings and billing records — see the Privacy Policy retention schedule).
  • Early deletion on request: You may request earlier deletion at contact@dockex.io, subject to the same legal-retention carve-out.
  • Termination for cause: If DOCKEX terminates your account for breach (Section 17.2), DOCKEX will still provide a thirty (30) day export window unless prohibited by law or where doing so would perpetuate the breach (e.g., fraud).

10. Intellectual Property

10.1 DOCKEX Platform

The DOCKEX platform, including without limitation all software, source code, object code, algorithms, user interfaces, workflows, APIs, data models, documentation, trade secrets, trademarks, service marks, logos, and all other intellectual property rights embodied therein, are and shall remain the exclusive property of DOCKEX LLC. Nothing in these Terms transfers any ownership interest in the DOCKEX platform to you.

10.2 License to Use

Subject to your compliance with these Terms and payment of applicable subscription fees, DOCKEX grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your internal commercial fleet operations during the term of your subscription. This license does not include any right to: (a) copy, modify, or create derivative works of the platform; (b) distribute, sell, sublicense, or transfer the platform to any third party; (c) use the platform for any purpose other than your own internal business operations; or (d) remove or alter any proprietary notices on the platform.

10.3 Feedback

If you provide DOCKEX with any suggestions, ideas, enhancement requests, feedback, recommendations, or other input regarding the Services ("Feedback"), you grant DOCKEX a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, and incorporate such Feedback into the Services or other products and services without any obligation of compensation or attribution to you.

10.4 Your Data Ownership

As set forth in Section 9, you retain all ownership rights in your User Data. DOCKEX's intellectual property rights in the platform do not affect your ownership of your User Data.

11. Third-Party Services

The DOCKEX platform integrates with or relies upon certain third-party services and infrastructure to deliver the Services. Your use of the Services may be subject to the terms and privacy policies of these third parties.

11.1 Stripe

Payment processing is handled exclusively by Stripe, Inc. By using the Services and providing payment information, you agree to Stripe's Terms of Service (available at stripe.com/legal) and Privacy Policy. DOCKEX is not responsible for errors, outages, or unauthorized charges arising from Stripe's payment processing systems.

11.2 Government Agencies and E-File Providers

IRP, IFTA, Form 2290, UCR, and MCS-150 workflows transmit data to and from state agencies (including the Oklahoma Corporation Commission and Service Oklahoma), the IRS via IRS-authorized e-file providers, FMCSA systems, and the national UCR portal. DOCKEX does not control these systems. Processing times, acceptance, and outcomes are determined by the agency or provider. DOCKEX is not responsible for agency delays, rejections, portal outages, or regulatory changes — subject to DOCKEX's own submission commitments in Section 3.3.

11.3 Amazon Web Services (AWS)

DOCKEX's infrastructure is hosted on Amazon Web Services (AWS). Your User Data is stored and processed on AWS infrastructure subject to AWS's security and compliance certifications. In the event of an AWS service disruption, DOCKEX will make commercially reasonable efforts to restore Services but is not liable for outages caused by AWS infrastructure failures.

11.4 Telematics Providers

If you connect a telematics account (e.g., Samsara, Motive, Geotab), you authorize DOCKEX to access and import data from that provider — including vehicle, odometer, and location data — under the scopes you grant during the connection flow. Your relationship with the telematics provider is governed by their terms. You may disconnect an integration at any time, which stops future imports; data already imported remains User Data under Section 9. You represent that you have the right to connect the account and to authorize the data flow (including any driver notices your jurisdiction requires for location data).

11.5 Third-Party Agencies

If you use the agency quote management features to engage third-party transportation compliance agencies through the platform, any resulting agreements are solely between you and those agencies. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DOCKEX LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE OF TRADE, OR COURSE OF PERFORMANCE.

DOCKEX DOES NOT WARRANT THAT: (A) THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (C) THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS; (D) ANY FILINGS GENERATED OR SUBMITTED THROUGH THE PLATFORM WILL BE ACCEPTED BY THE APPLICABLE GOVERNMENTAL AUTHORITY OR RESULT IN ANY PARTICULAR OUTCOME; OR (E) THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

DOCKEX does not provide legal, tax, accounting, or regulatory advice. The platform automates data processing workflows, but does not guarantee compliance with any federal, state, or jurisdictional law or regulation. You are responsible for consulting qualified legal and tax professionals regarding your specific compliance obligations.

Some jurisdictions do not allow the exclusion of certain warranties. To the extent such exclusions are not permitted under applicable law, DOCKEX's liability shall be limited to the minimum extent permitted by law.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL DOCKEX LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY: (A) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; (B) LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, OR BUSINESS INTERRUPTION; OR (C) DAMAGES ARISING FROM REGULATORY FINES, PENALTIES, AUDITS, OR ENFORCEMENT ACTIONS BY ANY GOVERNMENTAL AUTHORITY, IN EACH CASE WHETHER ARISING FROM CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, AND WHETHER OR NOT DOCKEX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED IN THESE TERMS, DOCKEX'S TOTAL AGGREGATE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES, WHETHER IN CONTRACT, TORT, OR OTHERWISE, WILL NOT EXCEED THE TOTAL SUBSCRIPTION FEES ACTUALLY PAID BY YOU TO DOCKEX DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU HAVE NOT PAID ANY FEES, DOCKEX'S LIABILITY IS LIMITED TO FIFTY DOLLARS ($50.00).

The limitations and exclusions of liability in this Section reflect a reasonable allocation of risk between you and DOCKEX and form an essential basis of the bargain between the parties. DOCKEX would not provide the Services without these limitations.

Some jurisdictions do not allow limitation or exclusion of liability for certain types of damages. In such jurisdictions, DOCKEX's liability is limited to the maximum extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless DOCKEX LLC and its officers, directors, members, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your breach of these Terms or any representation, warranty, or covenant herein;
  • Your use or misuse of the Services, including any filings prepared or submitted through the platform;
  • Any User Data you submit to the Services, including any claim that such data infringes or misappropriates any third-party intellectual property right, privacy right, or other proprietary right;
  • Any inaccuracy, misrepresentation, or fraudulent information in your account registration or User Data;
  • Your breach of the certifications and obligations in Section 4 (Driver Records, MVRs & Consumer Reports), including any FCRA, DPPA, or 49 CFR Part 40 or Part 382 claim by a driver or authority arising from your procurement or use of driver records;
  • Your violation of any applicable law, regulation, or governmental requirement, including IRP and IFTA regulations; or
  • Any claim by a third-party agency or governmental authority related to your filings.

DOCKEX reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with DOCKEX in asserting any available defenses.

15. Governing Law & Jurisdiction

These Terms and all matters arising out of or relating to your use of the Services are governed by and construed in accordance with the laws of the State of Oklahoma, without regard to its conflict of law provisions.

Subject to the Dispute Resolution provisions in Section 16, you agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Oklahoma County, Oklahoma for the resolution of any dispute, claim, or controversy arising under or related to these Terms or your use of the Services. You waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

16. Dispute Resolution

16.1 Informal Resolution

Before filing any formal legal action, the parties agree to attempt to resolve any dispute, claim, or controversy arising from these Terms or the Services informally. To initiate informal resolution, the complaining party must send written notice to the other party describing the dispute in reasonable detail and the relief requested. You may send such notice to DOCKEX at: contact@dockex.io or DOCKEX LLC, 12220 N MacArthur Blvd Ste F #50, Oklahoma City, OK 73162. The parties will have thirty (30) days from the date of receipt of such notice to resolve the dispute informally before either party may commence arbitration or litigation.

16.2 Binding Arbitration

If the parties are unable to resolve the dispute informally within the thirty (30) day period, either party may submit the dispute to binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, as modified by this Section. Arbitration will be conducted by a single arbitrator in Oklahoma City, Oklahoma or, at either party's election, via remote proceedings. The arbitrator's award will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

16.3 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND DOCKEX AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION OR PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

16.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information without first engaging in the informal dispute resolution process or arbitration.

17. Termination

17.1 Termination by You

You may terminate your account and subscription at any time by canceling through your account settings or by contacting contact@dockex.io. Upon cancellation, you will retain access to the Services through the end of your current paid billing period (see Section 8.4). No refunds will be issued for any unused portion of the current billing period.

17.2 Termination by DOCKEX

DOCKEX may suspend or terminate your account and access to the Services, with or without notice, if: (a) you breach any provision of these Terms; (b) your account has been inactive for an extended period; (c) we are required to do so by law or a governmental authority; (d) your subscription payment fails and is not cured within the applicable grace period; or (e) we reasonably determine that your continued use of the Services poses a security risk or harm to DOCKEX, other users, or third parties.

17.3 Effect of Termination

Upon termination of your account for any reason: (a) your right to use the Services will cease, except for the read-only export access described in Section 9.5; (b) DOCKEX will retain your User Data per the retention commitment in Section 9.5 — read-only for at least twelve (12) months, exportable at any time, with deletion only after notice; (c) all outstanding payment obligations will become immediately due; and (d) the following sections of these Terms will survive termination: Sections 3.5, 4, 9, 10, 12, 13, 14, 15, 16, and 17.3.

18. Changes to Terms

DOCKEX reserves the right to modify these Terms at any time. When we make material changes to these Terms, we will notify you by: (a) posting the revised Terms on our website at dockex.io/terms with an updated effective date; (b) sending an email notification to the address associated with your account; and/or (c) displaying a prominent notice within the Services.

Your continued use of the Services after the effective date of any revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Services and cancel your subscription before the effective date of the changes.

We encourage you to review these Terms periodically. The most current version of these Terms will always be available at dockex.io/terms.
